1. Nature of the Platform

Jumpseat by Invitational Club ("Jumpseat") is a private, invite-only coordination platform that allows members to share information about available seats on private aircraft and upcoming travel needs. Jumpseat is operated as a private community service and is not a commercial enterprise.

Jumpseat does not:

• Operate, charter, or dispatch aircraft
• Broker air transportation under 14 CFR Part 135
• Accept payment for transportation services
• Guarantee the availability, safety, or suitability of any flight
• Act as an agent for any aircraft owner or operator

2. Membership and Access

Access to Jumpseat is by invitation only. Membership may be revoked at any time at the sole discretion of the platform administrator. Members are responsible for maintaining the confidentiality of their account and for all activity that occurs under their account.

Members agree not to share login credentials, circumvent access controls, or invite non-members to use the platform without administrator approval.

3. Non-Commercial Use

This platform is strictly for private, peer-to-peer coordination. Members agree that all flight sharing arrangements are:

• Non-commercial in nature
• Not subject to compensation beyond legitimate pro-rata cost sharing among passengers on private flights operated under 14 CFR Part 91
• Not intended to constitute air carrier operations requiring certification under 14 CFR Part 135

Members who operate under Part 135 certificates may list available seats on charter flights, provided such listings comply with all applicable FAA regulations and are clearly identified as charter operations.

4. Member Responsibilities

Members are solely responsible for:

• The accuracy of all flight information they post
• All arrangements, agreements, and communications made with other members
• Compliance with all applicable aviation regulations
• Ensuring their aircraft is airworthy and properly insured
• Verifying the credentials and suitability of any person they agree to fly with
• All financial arrangements with other members

5. No Liability

Jumpseat and its administrators expressly disclaim all liability for:

• The safety, airworthiness, or operation of any aircraft listed on the platform
• Any injury, death, property damage, or loss arising from flights coordinated through the platform
• The accuracy, completeness, or timeliness of any information posted by members
• Any disputes, disagreements, or financial losses between members
• Failure to deliver notifications due to technical issues with email or SMS services
• Unauthorized access to member data resulting from circumstances beyond our reasonable control

Members use this platform entirely at their own risk.

6. Prohibited Conduct

Members agree not to:

• Post false, misleading, or inaccurate flight information
• Use the platform to solicit unlawful air transportation
• Harass, threaten, or intimidate other members
• Attempt to access other members' accounts or data without authorization
• Use the platform for any commercial purpose beyond legitimate cost sharing
• Reverse engineer or attempt to extract the platform's source code or data

7. Privacy

Your use of this platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Intellectual Property

The Jumpseat platform, including its design, code, and content, is proprietary. Members may not reproduce, distribute, or create derivative works without express written permission.

9. Termination

The platform administrator reserves the right to suspend or terminate any member's access at any time, with or without notice, for any reason including but not limited to violation of these Terms.

10. Governing Law

These Terms are governed by the laws of the Commonwealth of Puerto Rico and applicable federal law. Any disputes arising under these Terms shall be resolved in the courts of Puerto Rico.

11. Changes to These Terms

We may update these Terms from time to time. Members will be notified of material changes via email. Continued use of the platform after changes constitutes acceptance of the updated Terms.
